Services Description

JWS Nitinol Consulting LLC provides professional computer systems design and technical consulting services, including but not limited to:

• Computer integrated systems design and architecture
• Technical consulting and strategic planning
• System optimization and performance analysis
• Infrastructure planning and implementation
• Cloud migration and integration services
• Professional scientific and technical consulting

Service Agreements

Specific consulting engagements will be governed by separate written agreements that will include detailed scope of work, deliverables, timelines, and compensation terms. These Terms of Service supplement but do not replace individual service agreements.

Proposal and Acceptance

All consulting engagements begin with a detailed proposal outlining the scope of work, timeline, deliverables, and fees. Services commence only upon written acceptance of the proposal and execution of a service agreement.

Changes to Scope

Any changes to the agreed scope of work must be documented in writing and agreed upon by both parties. Additional work outside the original scope may result in additional fees.

Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Invoices are due within 30 days of receipt unless otherwise specified
• Late payments may incur interest charges at the rate of 1.5% per month
• Services may be suspended for accounts more than 60 days past due
• All fees are non-refundable unless otherwise specified in writing

Intellectual Property Rights

Client Materials

All materials, data, and information provided by the client remain the property of the client. We will maintain confidentiality of all client materials and information.

Work Product

Unless otherwise specified in a service agreement, all work product created specifically for a client becomes the property of the client upon full payment of fees. However, we retain the right to use general knowledge, skills, and experience gained during the engagement.

Pre-existing Materials

We retain all rights to our pre-existing intellectual property, methodologies, tools, and general knowledge that existed prior to or were developed independently of any client engagement.

Confidentiality

We understand that during the course of providing services, we may have access to confidential and proprietary information. We agree to:

• Maintain strict confidentiality of all client information
• Use confidential information solely for the purpose of providing services
• Not disclose confidential information to third parties without written consent
• Return or destroy confidential materials upon completion of services
• Execute separate non-disclosure agreements when required

Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner in accordance with industry standards. Our sole obligation for breach of this warranty is to re-perform the deficient services at no additional cost.

Disclaimers

EXCEPT AS EXPRESSLY SET FORTH HEREIN, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CLIENT FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Indemnification

Client agrees to indemnify and hold harmless JWS Nitinol Consulting LLC from any claims, damages, or expenses arising from:

• Client's use of our deliverables or recommendations
• Client's breach of any agreement or applicable law
• Any third-party claims related to client's business or operations
• Client's modification of our work product without our consent

These Terms of Service and any disputes arising hereunder shall be governed by the laws of the State of California, United States, without regard to conflict of law principles. Any legal action must be brought in the courts of Sacramento County, California.

Dispute Resolution

Any disputes arising from these terms or our services shall first be addressed through good faith negotiations. If resolution cannot be achieved, disputes may be submitted to binding arbitration in Sacramento, California, under the rules of the American Arbitration Association.

Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining terms remain in full force and effect.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any executed service agreements, constitute the entire agreement between the parties and supersede all prior understandings and agreements, whether written or oral.

Modifications
